1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of Arbor Capital's website and financial education programs. By enrolling in our programs, submitting inquiries through our website, or using our services in any capacity, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our services or website. We recommend reading these Terms carefully before enrollment.

By enrolling in a program, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements under Malaysian law.

2. Definitions

For the purposes of these Terms:

• "Service" refers to financial education programs, consultations, and related content provided by Arbor Capital
• "Participant" or "You" refers to individuals who enroll in our programs or use our website
• "We," "Us," or "Our" refers to Arbor Capital
• "Program" refers to any financial education course or service offered by Arbor Capital
• "Materials" refers to worksheets, frameworks, documents, and other resources provided during programs

3. Service Description

Arbor Capital provides financial education programs designed to build practical capability in financial conversations, income planning, and resilience building. Our services include:

• Structured group education sessions at our George Town location
• Individual consultations as specified in program descriptions
• Educational materials including worksheets and frameworks
• Quarterly follow-up sessions for program alumni
• Email support for clarifications on program content

Program availability is subject to minimum enrollment requirements. We reserve the right to reschedule or cancel programs with full refunds if minimum enrollment is not met.

4. Enrollment and Payment

4.1 Enrollment Process

Enrollment requires completion of our registration form and payment of the full program fee. Upon successful enrollment, you will receive confirmation via email within two business days, including session schedules and preparation instructions.

4.2 Payment Terms

All fees are quoted in Malaysian Ringgit (RM) and must be paid in full before the first session. We accept bank transfers and credit card payments through our secure payment processor. Payment confirmation serves as your enrollment receipt.

4.3 Refund Policy

Participants may withdraw and receive a full refund if notice is provided at least seven days before the first scheduled session. After the first session begins, program fees are non-refundable. However, participants may transfer their enrollment to a future program cycle if space is available, subject to a RM 200 administrative fee.

5. Participant Responsibilities

As a program participant, you agree to:

• Attend sessions punctually and participate actively in exercises
• Complete any pre-session preparation as indicated
• Respect confidentiality of other participants' shared experiences
• Provide accurate information during enrollment and consultations
• Use program materials solely for personal educational purposes
• Refrain from disruptive behavior that interferes with other participants' learning
• Apply program concepts responsibly to your own circumstances

6. Intellectual Property

All program materials, including worksheets, frameworks, presentations, and educational content, are the intellectual property of Arbor Capital and protected by Malaysian copyright law. Participants receive a limited, non-exclusive, non-transferable license to use these materials for personal educational purposes only.

You may not:

• Reproduce, distribute, or share program materials with non-participants
• Create derivative works based on our content
• Use materials for commercial purposes or in your own training programs
• Remove copyright notices or attribution from materials

7. Educational Nature of Services

Important Disclaimers:

• Our programs provide education, not personalized financial advice, investment recommendations, or financial planning services
• We do not recommend specific financial products, investment vehicles, or insurance policies
• Content is for general educational purposes and may not suit your specific circumstances
• You remain solely responsible for your financial decisions and their outcomes
• We do not guarantee specific results, outcomes, or financial improvements from program participation
• Program content does not constitute professional financial, legal, or tax advice

Participants should consult licensed financial advisors, tax professionals, or legal counsel for personalized guidance on significant financial decisions.

8. Limitation of Liability

To the maximum extent permitted by Malaysian law, Arbor Capital, its educators, and staff shall not be liable for:

• Financial losses resulting from decisions made based on program content
• Investment performance or outcomes of strategies discussed
• Indirect, consequential, or incidental damages arising from program participation
• Errors or omissions in educational content
• Changes in tax laws, regulations, or financial market conditions

Our total liability to any participant, for any claim arising from our services, shall not exceed the program fees paid by that participant.

9. Confidentiality

We maintain confidentiality of participant information as described in our Privacy Policy. Participants are expected to respect the confidentiality of information shared by others during group sessions. Discussion of other participants' financial situations outside program sessions is prohibited.

While we make reasonable efforts to create a confidential environment, we cannot guarantee absolute privacy in group settings. Participants should exercise judgment about what personal information they choose to share.

10. Termination

10.1 Termination by Participant

Participants may withdraw from programs subject to the refund policy described in Section 4.3. Withdrawal does not entitle you to partial refunds after the first session begins.

10.2 Termination by Arbor Capital

We reserve the right to terminate a participant's enrollment immediately without refund if they:

• Violate these Terms or engage in disruptive behavior
• Provide false information during enrollment
• Breach confidentiality obligations
• Misuse program materials

11. Program Changes

We reserve the right to modify program content, session schedules, or educator assignments as needed. Significant changes will be communicated to enrolled participants at least seven days in advance. If changes materially affect program delivery, participants may withdraw with a full refund.

Emergency schedule changes due to unforeseen circumstances (educator illness, natural disasters) will be communicated as soon as possible with rescheduling arrangements.

12. Indemnification

You agree to indemnify and hold harmless Arbor Capital, its educators, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating formal legal proceedings, parties agree to attempt resolution through good-faith negotiation. If unresolved within 30 days, either party may pursue legal remedies.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Arbor Capital regarding our services.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to a successor entity.

14.5 Notices

Official notices shall be sent via email to the address provided during enrollment or to [email protected] for correspondence to us.

15. Changes to Terms

We may revise these Terms from time to time. Material changes will be communicated to enrolled participants via email and posted on our website with an updated "Last Updated" date. Continued use of our services after changes take effect constitutes acceptance of revised Terms.

For participants currently enrolled in programs, changes will not apply retroactively to affect existing enrollment agreements.
